These Terms of Service ("Terms") govern your use of this website (the "Site") and any proposals, statements of work, or service agreements referencing them (collectively, the "Services") provided by OXO Software Solution ("OXO", "we", "us").

1. Acceptance of Terms

By accessing the Site or engaging OXO for Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our Services.

2. Services & Engagements

Specific project scope, deliverables, timelines, and fees are defined in a separate proposal or statement of work ("SOW") signed by both parties. These Terms apply in addition to, and do not replace, any signed SOW.

3. Fees & Payment

Unless otherwise agreed in an SOW, fees are invoiced per the schedule outlined in that SOW. Late payments may incur a reasonable interest charge and may result in a pause of ongoing work. Prices shown on the Site in your local currency are indicative conversions; invoices are issued in the currency stated in your SOW.

4. Intellectual Property

Upon full payment, ownership of the custom deliverables created specifically for a client transfers to that client, excluding OXO's pre-existing tools, frameworks, and general know-how, which OXO retains the right to reuse.

5. Confidentiality

Both parties agree to keep confidential information shared during an engagement private, and will sign a mutual NDA upon request before detailed project discussions.

6. Warranties & Limitation of Liability

Services are provided on an "as is" basis with professional care consistent with industry standards. To the maximum extent permitted by law, OXO's liability for any claim is limited to the fees paid for the Services giving rise to the claim.

7. Termination

Either party may terminate an engagement per the notice terms specified in the applicable SOW. Fees for work completed up to the termination date remain payable.

8. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles, unless otherwise specified in a signed SOW.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
